1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Phrasly LLC ("Phrasly," "we," "us," or "our"), a Delaware limited liability company located at 8 The Green Suite #16002, Dover, DE 19901. By accessing or using the Phrasly Business API at business.phrasly.ai (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

If you are using the Service on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. In that case, "you" and "your" refer to that entity.

2. Description of Service

Phrasly Business provides API access to AI-powered text humanization and AI detection services. The Service includes:

• AI Humanization API for transforming AI-generated text
• AI Detection API for identifying AI-generated content
• A web dashboard for usage monitoring, billing, and API key management
• Technical documentation

3. Account Registration

To access the Service, you must subscribe through our website. Upon subscription, we will provide login credentials via email. You are responsible for:

• Maintaining the confidentiality of your account credentials and API keys
• All activity that occurs under your account
• Notifying us immediately of any unauthorized use of your account

You may not share, sell, or transfer your account or API key to any third party without our prior written consent.

4. Subscription and Billing

The Service is offered as a monthly subscription at the rate published on our pricing page. Your subscription includes a specified amount of API credits.

• Credits: Each API call deducts credits from your balance based on word count and the applicable per-word rate for the endpoint used.
• Autopay: If enabled, your payment method is charged automatically when your credit balance drops below the configured threshold. You may set a monthly spending cap and choose your top-up amount.
• Overage: Overage is billed at the same per-word rates as your subscription credits. There are no penalty rates or markups.
• Billing cycle: Subscriptions renew monthly on the anniversary of your sign-up date. Unused credits do not roll over.

All fees are exclusive of applicable taxes. You are responsible for all taxes associated with your use of the Service.

5. Cancellation and Refunds

You may cancel your subscription at any time from your dashboard. Upon cancellation, your access remains active until the end of your current billing period. No further charges will be made.

Refunds are subject to our Refund Policy. In summary, unused subscription credits may be refunded within 14 days of your billing date, and unused autopay credits are refundable at any time. After 14 days, subscription credits are non-refundable.

6. Permitted Use

The Service is provided exclusively for legitimate business purposes. Permitted uses include integrating the API into your own products, reselling or white-labeling the API output as part of your commercial offerings, and using the Service for internal business operations. All use must comply with these Terms and applicable law.

7. Prohibited Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights
• Submit content that is defamatory, obscene, threatening, or otherwise unlawful
• Attempt to circumvent rate limits, authentication, or security measures
• Reverse engineer, decompile, or disassemble any part of the Service
• Use the API output or any data derived from the Service to train, fine-tune, distill, or otherwise develop any machine learning model, artificial intelligence system, or competing product. This includes, without limitation, using Output Content as training data, generating synthetic training datasets, or systematically collecting API responses for model development purposes
• Attempt to extract, replicate, or approximate the underlying models, algorithms, or weights powering the Service through any means, including but not limited to model distillation, reverse engineering of outputs, or systematic probing of the API
• Resell, sublicense, or redistribute the Service or API access without our written consent
• Use the Service to generate spam, phishing content, or misleading material
• Interfere with or disrupt the integrity or performance of the Service
• Use the Service for academic dishonesty or to circumvent plagiarism detection in educational settings in violation of applicable institutional policies

We reserve the right to suspend or terminate your account immediately if we determine, in our sole discretion, that you have violated these terms. In the event of a violation of Sections 6 or 7, particularly prohibitions on model training, distillation, or unauthorized redistribution, we reserve the right to seek compensatory, consequential, and statutory damages, including recovery of lost revenue, legal fees, and any gains you derived from the prohibited activity.

8. Intellectual Property

Our IP: The Service, including its APIs, documentation, website, algorithms, and underlying technology, is owned by Phrasly LLC and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your content: You retain all rights to the text you submit through the API ("Input Content") and the text returned by the API ("Output Content"). We do not claim ownership of your Input or Output Content. We may temporarily process your content to provide the Service but do not store it after processing is complete unless required for billing or debugging purposes (in which case it is retained for no more than 30 days).

Feedback: If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free license to use that feedback for any purpose.

9. API Usage and Rate Limits

The Service is subject to rate limits and usage quotas as described in our documentation. We may adjust rate limits at any time to maintain service quality. Exceeding rate limits may result in temporary throttling or suspension of API access.

10. Service Level

We target 99.9% uptime for the API. However, the Service is provided "as is." We do not guarantee uninterrupted or error-free operation. Scheduled maintenance windows will be communicated in advance when possible.

11. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your information.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements, that Output Content will be accurate or undetectable, or that the Service will be uninterrupted or error-free.

13. Limitation of Liability

To the maximum extent permitted by law, Phrasly LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business, or goodwill, arising out of or related to your use of the Service, regardless of the theory of liability.

Our total aggregate liability arising out of or related to these Terms shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

14. Indemnification

You agree to indemnify, defend, and hold harmless Phrasly LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorney fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) your Input or Output Content.

15. Modifications to the Service and Terms

We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We may update these Terms from time to time. If we make material changes, we will notify you via email or through the dashboard at least 30 days before the changes take effect. Your continued use of the Service after changes become effective constitutes acceptance of the updated Terms.

16. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice. Upon termination:

• Your API key will be deactivated immediately
• Any outstanding balance will be charged to your payment method
• Provisions that by their nature should survive termination will survive, including Sections 7, 8, 12, 13, 14, and 18

17. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

18. General Provisions

• Entire Agreement: These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Phrasly LLC regarding the Service.
• Severability: If any provision of these Terms is held invalid or unenforceable, the remaining provisions remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
• Assignment: You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.
• Force Majeure: We are not liable for delays or failures in performance resulting from events beyond our reasonable control.
